These Terms of Service (“Terms”) are a legal agreement between you and Do2Nite LLC, a Wisconsin limited liability company (“Do2Nite,” “we,” “us,” or “our”). By accessing or using do2nite.com (the “Site”) or any Do2Nite service, you agree to be bound by these Terms. If you do not agree, do not use the Site or any of our services.

These Terms apply to all users of the Site, including visitors, registered account holders, and venue subscribers.

2. Description of Services

Do2Nite operates a community-based local event discovery platform that connects visitors with local venues and events in their area. Services include:

A publicly accessible event calendar showing local events, specials, and entertainment
Free visitor accounts with event-saving and venue-following features
Paid venue subscription plans that include calendar listings and a branded venue page
A free merch program for qualifying venues, fulfilled through a third-party print-on-demand provider

3. Visitor Accounts

3.1 Eligibility

You must be at least 13 years of age to create a free visitor account on Do2Nite. Users between the ages of 13 and 17 must have verifiable parental or guardian consent before creating an account.

3.2 Account Responsibility

You are responsible for keeping your login credentials secure. Do not share your username or password with anyone. You are responsible for all activity that occurs under your account. Notify us immediately at inquiries@do2nite.com if you suspect unauthorized access.

3.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and to keep it updated.

3.4 Termination of Visitor Accounts

Do2Nite reserves the right to suspend or terminate any visitor account at any time and for any reason, including violation of these Terms, without prior notice.

4. Venue Subscriptions

4.1 Eligibility

Venue subscriptions are available to legally operating businesses and individuals who represent a venue, event space, or entertainment act. By subscribing, you confirm that you have the authority to represent the venue and that all information submitted is accurate.

4.2 Subscription Plans

Do2Nite offers the following subscription tiers:

Monthly: $50 per month, billed monthly
3-Month: $120 every 3 months (about $40 per month)
6-Month: $210 every 6 months (about $35 per month)
Annual: coming soon (about $30 per month when available)

All plans include the same features: a branded venue page, unlimited event listings on the local calendar, a personal My Do2Nite account, and access to the referral program.

Plans and pricing are subject to change with 30 days written notice to the email address on your account (see Section 4.7).

4.3 Billing

Your subscription billing date is the same calendar date each billing period as the date you first subscribed. For example, if you subscribed on the 10th of the month, your subscription renews on the 10th of each subsequent billing period.

Payment is processed through Shopify’s payment system. By subscribing, you authorize Do2Nite to charge your payment method on file on each renewal date.

4.4 Failed Payments

If a payment fails on your renewal date, you will receive a notification and have a 3-day grace period to update your payment information and complete the charge. If payment is not received within the grace period, your venue subscription will be set to inactive until payment is resolved. Your venue page data and event history will be retained during this period.

4.5 Cancellation

You may cancel your subscription at any time through your venue dashboard. Cancellation takes effect at the end of your current paid billing period. You retain full access to your subscription features through the last day of the period you have already paid for. No partial refunds are issued for unused time within a paid period.

4.6 7-Day Money-Back Guarantee

If you are unsatisfied with your Do2Nite subscription, you may request a full refund within 7 days of your initial payment by contacting us at inquiries@do2nite.com. Refund requests must be submitted directly to Do2Nite; refunds are not processed automatically. This guarantee applies to first-time subscriptions only and does not apply to renewals or reactivations.

This guarantee is offered in good faith to first-time subscribers evaluating the service. It does not apply to, and no refund will be issued for, any account that Do2Nite suspends or terminates for cause under Section 5.4 (including fraud, abuse, impersonation, or posting harmful, unlawful, false, or bad-faith content), even where the request is made within the 7-day period. To the extent this Section 4.6 and Section 5.4 conflict, Section 5.4 controls.

4.7 Price Changes

Do2Nite reserves the right to change subscription pricing at any time. You will be notified at least 30 days in advance of any price change via email to the address on your account. If you do not cancel before the new pricing takes effect, your continued subscription constitutes acceptance of the new pricing.

5. Venue Page and Event Listings

5.1 Venue Page

Active subscribers receive a branded venue page on Do2Nite. The venue page displays upcoming and past events, venue hours, social media links, and merch (if enrolled in the merch program). Your venue page is active for the duration of your subscription.

Upon cancellation or termination, your venue page will be set to inactive. Your event history and venue data will remain archived and can be reactivated if you renew your subscription.

5.2 Event Submission and Approval

You are responsible for submitting accurate, complete, and current event information through your venue dashboard.

Do2Nite uses a tiered trust system for event approvals:

New venues: All submitted events are reviewed and approved by Do2Nite before they are published to the calendar. This review period allows Do2Nite to verify content quality and accuracy.
Trusted venues: At Do2Nite’s sole discretion, a venue may be granted trusted status, at which point submitted events may be published automatically without prior review.
Do2Nite reserves the right to revoke trusted status and return a venue to manual review at any time and for any reason, without prior notice.

Do2Nite reserves the right to reject, edit, or remove any event listing at its sole discretion.

5.3 Venue Content Responsibility

You are solely responsible for the accuracy and legality of all content you submit, including event names, dates, times, descriptions, cover charges, and any associated images. Do2Nite is not responsible for errors, inaccuracies, cancellations, or changes to events as listed on the platform. Visitors who rely on event information do so at their own risk.

You agree not to submit event listings that:

Promote illegal activity
Contain false, misleading, or deceptive information
Impersonate, misrepresent, or falsely claim to represent another venue, business, person, or act
Violate the rights of any third party
Include content that is obscene, harassing, or otherwise objectionable at Do2Nite’s sole discretion

5.4 Do2Nite’s Right to Remove Content and Terminate Accounts

Do2Nite reserves the right to remove any event, listing, or content, and to suspend or terminate any venue subscription immediately and without refund if the venue violates these Terms, engages in fraudulent activity, impersonates another party, posts harmful or false content, or otherwise uses the platform in bad faith.

An account suspended or terminated under this Section is not eligible for the 7-day money-back guarantee in Section 4.6 and forfeits any such refund, regardless of when the request is made.

6. Merch Program

6.1 Free and Independent of Subscription

The Do2Nite merch program is offered free of charge to qualifying venues and is separate from the paid calendar subscription. A venue’s merch listings remain active on Do2Nite regardless of whether they hold an active paid subscription.

6.2 Print-on-Demand Fulfillment

All merch is produced and fulfilled through a third-party print-on-demand provider (currently Printify). No physical inventory is held by Do2Nite. Products are created and shipped on a per-order basis.

6.3 Fulfillment and Defective Items

Do2Nite does not manufacture, warehouse, or ship any merch products; all merch is produced and shipped by the print-on-demand provider. Do2Nite is not responsible for shipping carrier delays, or for items ordered in the wrong size or color selected by the customer.

If a merch item arrives damaged, defective, or misprinted, Do2Nite stands behind it: you are entitled to a free replacement or a refund as described in the Do2Nite Refund & Replacement Policy. Claims are handled through our production partner within the window stated in that policy.

6.4 Merch Refunds Are Separate from the Subscription Guarantee

The 7-day money-back guarantee in Section 4.6 applies to first-time venue subscriptions only. It does not apply to merch purchases. Merch refunds and replacements are governed solely by the Do2Nite Refund & Replacement Policy.

6.5 Revenue Split

Do2Nite and the venue each earn a fixed amount per sale as disclosed at the time of enrollment. This amount is subject to change based on changes to production costs or platform pricing. Do2Nite will provide reasonable notice of any changes to the revenue split.

6.6 Designs

Merch designs created by Do2Nite for a venue’s branded products are created and managed by Do2Nite for use on the Do2Nite platform. Do2Nite makes no claim to any trademarks, logos, or brand assets owned by the venue. Venues are responsible for ensuring they have the rights to any logos, artwork, or branding they provide to Do2Nite for use in the merch program.

7. Referral Program

7.1 Overview and Two Tracks

Do2Nite rewards referrals through two separate tracks, and the reward depends on what the referred party is and whether the referrer is a paid subscriber:

Subscriber referral credit (this Section). An active paid venue subscriber who refers a new brick-and-mortar venue earns a free-month subscription credit, as described below.
Cash affiliate commissions (separate agreement). Referrals of artists and performers, and any referrals made by a non-subscriber outside promoter, are not covered by this Section. Those are governed by the separate Do2Nite Affiliate Program Agreement and are paid as a cash commission, not a subscription credit.

No single signup earns both a free-month credit and a cash commission. Only one reward is issued per qualifying signup.

For purposes of this Section, a brick-and-mortar venue is a bar, restaurant, library, or any business with a permanent physical location. An artist is a musician, DJ, band, performer, event organizer, or any act without a fixed physical location.

7.2 Eligibility for the Free-Month Credit

To earn a free-month referral credit, a venue must be an active, paid subscriber for a minimum of 3 consecutive months. Referral credits do not accumulate during the first 3 months of a subscription.

7.3 How the Free-Month Credit Works

Each eligible venue receives a unique referral link through their venue dashboard. When a new brick-and-mortar venue signs up through that link and becomes a paying subscriber, the referring venue receives one free month, applied as a one-month extension of their current paid period. The referring venue’s next renewal date moves out by one month, regardless of the referring venue’s current plan or rate. This credit has no cash value.

7.4 Credit Posting

Referral credits are posted to the referring venue’s account after the referred venue has completed the 7-day money-back guarantee period and their payment has been confirmed by Do2Nite.

7.5 Credit Terms

Referral credits apply to Do2Nite subscription fees only. Credits have no cash value and cannot be transferred, withdrawn, or paid out. Credits have no expiration date while a venue holds an active subscription but are forfeited if a venue cancels. If a venue reactivates a cancelled subscription, previously forfeited credits will not be restored.

7.6 No Cap on Referrals

There is no limit to the number of referral credits a venue can earn.

7.7 Program Changes

Do2Nite reserves the right to modify or discontinue the referral program at any time with 30 days notice. Credits already posted to an account at the time of program changes will be honored.

8. Intellectual Property

All content on the Do2Nite platform not submitted by venues or users, including design, layout, copy, logos, and code, is owned by Do2Nite LLC or its licensors. You may not copy, reproduce, distribute, or create derivative works from Do2Nite content without prior written permission.

By submitting event content, venue information, or other materials to Do2Nite, you grant Do2Nite a non-exclusive, royalty-free license to display, distribute, and promote that content on the Do2Nite platform and in related marketing.

9. Disclaimer of Warranties

Do2Nite provides the platform and all services on an “as is” and “as available” basis without warranties of any kind, express or implied. Do2Nite does not warrant that the platform will be uninterrupted, error-free, or free of harmful components. Do2Nite does not guarantee the accuracy, completeness, or reliability of any event listings, venue information, or other content submitted by third parties.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Do2Nite LLC and its members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to reliance on event listings that are cancelled, inaccurate, or changed by a venue.

Do2Nite’s total liability to any venue or user for any claim arising out of these Terms shall not exceed the total subscription fees paid by that venue to Do2Nite in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Do2Nite LLC, its members, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the platform, your submitted content, or your violation of these Terms.

12. Dispute Resolution

These Terms, and any dispute arising from or related to these Terms, are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law principles. Any lawsuit arising from or related to these Terms shall be brought exclusively in the state courts of Kenosha County, Wisconsin, or, where federal jurisdiction applies, in the United States District Court for the Eastern District of Wisconsin, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

Do2Nite reserves the right to update these Terms at any time. Changes will be posted to this page with an updated effective date. For material changes, Do2Nite will provide notice via email to venue subscribers at least 30 days before the changes take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

14. Termination

Do2Nite may suspend or terminate your access to the platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) will survive.

15. Miscellaneous

Entire Agreement: These Terms, together with the Do2Nite Privacy Policy and the Do2Nite Refund & Replacement Policy, constitute the entire agreement between you and Do2Nite with respect to your use of the platform.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Do2Nite’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: Do2Nite may assign these Terms or any rights under them without your consent. You may not assign your rights under these Terms without Do2Nite’s written consent.
